VisionPeople Consulting A/S' Terms of Sale and Delivery

The following terms of sale and delivery apply unless otherwise agreed in writing between VisionPeople Consulting A/S, Blokken 15, 3460 Birkerød (hereinafter referred to as VisionPeople) and the buyer. VisionPeople's distribution network means that the buyer can be sent the purchased products from one of VisionPeople's selected distributors (hereinafter referred to as the distributor) accompanied by a delivery note issued by the Danish distributor. Although the delivery note should contain terms of sale and delivery that differ from these terms, these Danish terms shall also apply to the relationship between VisionPeople and the buyer.

  1. All prices are in DKK. The prices are stated both excluding 25% VAT and the total amount including 25% VAT.
  2. If an order confirmation sent by VisionPeople deviates from the Buyer's order by addition, restriction, or reservation, and Buyer does not agree to these changes, VisionPeople shall notify VisionPeople immediately and within 7 days of receipt. Otherwise, VisionPeople's order confirmation is binding on the buyer.
  3. The items are delivered from the warehouse of one of VisionPeople's selected distributors. The risk of the goods is surpassed by the buyer's receipt of the goods. In the case of transport with the distributor's carrier, the risk of the goods is exceeded upon receipt by the buyer at the place of destination, since the distributor provides insurance for the transport to the buyer's address. When the buyer picks up goods at the distributor's warehouse, or when transported by the buyer's own carrier, the transition of risk occurs upon receipt of the goods at the distributor's warehouse.
  4. Any indication of delivery times (as described on the order confirmation) is discretionary and expresses an expected delivery time. Exceeding agreed delivery times not due to VisionPeople's conditions cannot be relied upon by Buyer as delay.
  5. The products come with the warranties that come with the product from the manufacturer. Buyer cannot claim any additional product warranty against VisionPeople.
  6. VisionPeople makes no warranty of any kind as to the harmful properties of the delivered products (product liability). The Buyer is referred to take out the necessary insurance for damage that may occur to the Buyer's other computer equipment, network or software. Any warranty for consequential damage granted by the manufacturer shall be transferred to the buyer.
  7. The buyer is obliged to examine and review the accompanying delivery note, in order to make sure that the item number and quantity match the order before breaking the packaging. Complaints must be made immediately and within 7 days of receipt to VisionPeople.
  8. VisionPeople undertakes, for a period of 3 months from the date of dispatch of the goods, to correct defects on the hardware provided that:
    1. Buyer advertises in a timely manner.
    2. Defective goods are immediately returned by the buyer to the distributor designated by VisionPeople with a clear endorsement of RMA No. (return number) and error description.
    3. The distributor, after examination, is satisfied that the defects found are due to defects in material or workmanship, and are not justified by improper handling or storage, disrepair, installation, repair or modifications made by the buyer, or are justified by incidental events for which the distributor cannot be held liable under the general rules of Danish law.
  9. Except for matters covered by 1.7 and the products/quantities described in the order confirmation, VisionPeople is not responsible for defects in the hardware and software provided herein, for whatever reason. It should be noted separately that 1.7 does not include software.
  10. VisionPeople cannot be held responsible for errors related to delivered 3rd party software. VisionPeople reserves responsibility for its own work and software, but VisionPeople cannot be held responsible for any consequential damages. VisionPeople's work can be ordered on a continuous basis, whereby the customer pays for all the time spent — including time spent on any corrections thereto — or as a fixed-price project.
  11. The customer acquires only a non-exclusive right to use the delivered software. In the case of software, the specific licence conditions for each programme product shall prevail over these terms.
  12. Unless otherwise agreed, the buyer pays the freight from the delivery point as well as the handling fee.
  13. Unless otherwise agreed, VisionPeople is entitled, on the day of delivery, to change the prices in accordance with changes in exchange rates, purchase prices, customs, shipping and insurance rates or other matters beyond VisionPeople's control and control.
  14. When paying after maturity, interest is calculated 1.8% per month begun. The interest invoice is printed per month started.
  15. Goods will only be returned after prior agreement with VisionPeople (see section 1.7). Returns must be in unbroken and undamaged original packaging with the return number (RMA). Products included in the standard product range purchased within the last 30 days and in unopened, undamaged and original packaging can be returned for a return fee of min 10% of the invoice value. Pantry items (not mainstream items, which are not stocked but must be ordered home), configured items, spare parts and customer-specific items are not returned.

  16. VisionPeople reserves ownership of what was sold until payment has taken place.
