Settlement of consulting services

1 day is from 8:30am to 4:30pm, incl. ½ hour lunch equivalent to 7½ hours (Friday only 7 hours though) unless otherwise agreed. Outgoing visits are calculated per hour started, with a minimum of 3 hours per person.

Hours performed after 16:30 will be settled at the stated hourly rate plus 50% until 18:00. Work performed between 18:00 and 08:30 and weekend work will be settled with the stated hourly rate added 100% and must be agreed in advance.

Mail and telephone support is settled per quarter started when purchasing a support agreement (see separate support agreement). Telephone support without an agreed support agreement will be settled per ½ hour started.

Ongoing consultancy and development tasks are settled according to time consumed 1-2 times a month.

Agreed and booked consulting services will be settled according to agreement.

If the customer cancels the agreed and booked consulting services, the customer will be charged on the basis of the following:

• No later than 3 working days before: no settlement
• 2 working days before: 25% of booked time
• 1 working day before: 50% of booked time
• Same day: full payment for booked time.

Transportation

VisionPeople's consulting time consumed during the transport between VisionPeople's address in Birkerød (Denmark) and the customer's place of residence is settled at DKK 600 per hour. In addition, actual documented costs for the bridge, ferry, parking and pre-arranged flight and stay are included. Any travel and waiting time in connection with transportation to the customer outside of Greater København/Zealand will also be charged at 600, - DKK per hour.

License and hardware purchases are billed at order, and software subscriptions are billed at activation.

Payment terms for the above are 8 days, assuming that the customer can be credit approved. Alternatively, pay in advance of deliveries. All prices are quoted in DKK excl. VAT. In addition, VisionPeople Consulting's general Terms and Conditions of Sale and Delivery apply.

Project Rate Payments

• 30% at the conclusion of the contract
• 30% when installing solution in the agreed test environment
• 30% upon customer approval of the test for the solution (after customer's test)
• 10% when using the solution in the agreed operating environment.
